Grupo Dia. All about our governance bodies
Board of Directors
This collegiate governing body is responsible for directing and supervising management, representing the company and safeguarding shareholders’ interests, while ensuring compliance with the law. Its main functions are drawing up the annual accounts, making strategic decisions and guiding the company’s management. Operational management is delegated to the Management Board.
The Board of Directors is composed of 10 members (effective composition since February 2026), with 90% independent directors and 60% female representation. These figures exceed the recommendations of the Good Governance Code for listed companies in Spain and reaffirm Dia Group’s position as a company with top-tier corporate governance and a firm commitment to professionalism and diversity in the broadest sense.

Alberto Gavazzi (Brazilian and Italian nationality) is an executive with extensive experience in FMCG multinationals such as Diageo, where he spent a large part of his career. In recent years, he has also been an advisor to Private Equity firms such as Bain Capital and Metric Capital, among others, a founding partner of Unlock Beverages, a venture capital firm focused on start-ups in the beverage sector with investments in Brazil, the United States and the United Kingdom, as well as a member of the Advisory Board of the University of Miami Business School.
He holds a degree in Business Administration and Management from the Catholic University of Sao Paulo (Brazil) and is a graduate of the Advanced Management Programme at INSEAD in Paris (France). During his more than 30-year career, he has held management positions in North America, Europe and South America. He started his career in multinationals such as Unilever and Colgate in Brazil, and later joined Diageo, a leading multinational in the premium drinks segment, where he held various international roles during his 27-year career.
His most recent role at Diageo was as President of Diageo Latin America, Global Travel and Global Sales, forming part of the firm’s Global Executive Committee. In this position, Gavazzi was responsible for the performance of the business in Latin America and the Caribbean, managing three business units and a team of more than 2,500 people.

Mr Babcock has a BA (Hons) in East Asian Studies from the University of Toronto, an MsC from the London School of Economics and is a Chartered Accountant. Since 2020 is a Managing Director of Corporate Finance at LetterOne. In the previous decade, he was Managing Director of Morgan Stanley in London, and prior to this role he also worked for Merrill Lynch and Lazard in London and Canada. During his career, Babcock has advised companies and investors on a number of recapitalisation, refinancing and M&A transactions across the energy, transportation, telecommunications, infrastructure and manufacturing industries in Europe and the Middle East.

Holds a degree in Business Administration, with a specialization in Finance and Marketing, from Fundação Armando Alvarez Penteado (Brazil). This investor, entrepreneur, and start-up advisor has played a key role in the creation and strategic development of companies and brands worldwide. An expert in retail and the food industry, he joined the Carrefour Group in 1988, where he rose to the positions of Deputy CFO and General Manager of the non-food eCommerce sites.
In 2002, he joined LVMH Moët Hennessy to lead its Wines and Spirits Division before being appointed CEO of Millennium (Belvedere Vodka), a subsidiary of the group, in 2005. Mr. Dias has also served as Executive Chairman of SecretSales.com and CEO of Brands4friends.de, among other roles. He is currently a board member at Distilled Spirits Holding and Distillers and Traders PTE Ltd.

Ms Gloria Hernández García is an Economist specializing in Economic Theory from the Complutense University of Madrid. Her training includes specialized postgraduate studies at Business Schools such as Chicago Booth, IESE Business School, ESADE and the CFA Institute. She has over 30 years of experience in the financial world, complemented by positions as a non-executive director at Ibex 35 companies such as Siemens Gamesa Renewable Energy, where she chaired the Audit Committee between 2015 and 2019. Hernández is an independent director of Banco Sabadell, S.A. and Nortegas, a company in which she also chairs its Audit Committee. From 2011 to 2019 she served as CFO at Bankinter, a Spanish listed bank where she spent 8 years, and was Chief Financial Officer of Banco Pastor between 2003 and 2010. She also led SAP’s Human Resources division, where she was CHRO and an Executive Board Member. From 2013 to 2018, she was CEO of Safilo Group, the world’s second largest premium eyewear group. Rut Aranda Carmona is an executive with more than 20 years of experience in the FMCG sector, where she has held top-level management positions, such as CEO of Cerealto Siro Foods, a multinational company with operations in Europe and America. She has led internationalisation processes, mergers and industrial integrations, as well as the transformation of family businesses into privately owned structures.
Aranda holds a degree in Technical Agronomic Engineering in Food Industry from the University of La Rioja. Her executive education includes advanced programmes at prestigious international schools such as Harvard Business School, London Business School, IE Business School and Singularity University.
Her career has been characterised by her strategic focus, in-depth knowledge of the food distribution channel and her ability to detect and anticipate macro trends in order to adapt the business appropriately to the market and, with this, create value in complex and global environments. She is currently a director of Grupo Durania and the Mexican company Cereales y Pastas S.A., as well as an independent advisor to investment funds such as Afendis Capital Partners.

Paloma Pérez is a manager with more than 30 years of national and international experience in listed and unlisted private equity companies in Europe and America in the consumer and distribution sectors.
Ms. Pérez holds a degree in Economics and Business Administration from the Complutense University of Madrid and is a PhD candidate in Business Management. Her executive education includes a Master's degree in e-Business from ICADE and she is certified by the Instituto de Consejeros y Administradores (IC-A) in Good Corporate Governance, which accredits her knowledge and commitment to Governance as a lever of value for the company.
She has developed her career linked to brands such as Colgate-Palmolive, BMW, Ikea, Carrefour and Vorwerk, where she was in charge of global distribution, managing 55 countries from Switzerland. She is currently CEO and Managing Director of Forus Sport and Leisure for Spain, Italy and Portugal.
Her track record shows solid experience in the growth of companies and brands in various sectors and multiple channels (FMCG, food and non-food retail and e-Commerce, automotive industry and household appliances), standing out for her omnichannel and digital strategic vision, business development, marketing and sales.

She is currently CEO of The Post Fiber, a leading firm in the circular economy and sustainable transformation of the textile industry, is a member of the board of directors of Revolution Race and Circulose and is the sole administrator of Ethical Fashion Advisory.
Her profile combines international operational experience, commercial and brand sensitivity, and a deep understanding of consumer behavior, with a strong capacity for strategic transformation. As a tool for transparency and continuous improvement, the Board uses a skills matrix to identify and visualize its members’ experience and knowledge in areas such as executive management, strategic direction and business development, culture and talent, as well as retail and food, digitalization, personalization, supply chain, and sustainability. The Board of Directors conducts this analysis as part of a periodic general evaluation of its functioning, quality, and efficiency, with the most recent evaluation taking place in the 2025 fiscal year.
Committees
The Committees are specialized and permanent bodies that support the Board of Directors in specific key areas by providing technical analysis and fundamental recommendations to inform decision-making. The Board has two Committees: the Audit and Compliance Committee, which focuses on financial oversight, internal control and risk management, and the Nomination and Remuneration Committee, which focuses on appointments, remuneration, salary policies and promoting diversity.

Its main function is to oversee the quality and integrity of financial and non-financial information, the effectiveness of internal control and risk management systems, and compliance with regulatory frameworks and the Group’s environmental, social and corporate governance (ESG) policies.

Management Board
Dia Group’s Management Board is comprised of eight professionals of four different nationalities. United by a clear vision and roadmap, they handle the internal and external challenges required to grow the business and strengthen the company’s relationships within its socio-economic ecosystem. Collectively, the leadership team has solid experience in the retail industry and is focused on making Dia the favourite store for customers in every neighbourhood, both online and in-store.

Martín
Tolcachir
Martín Tolcachir has a degree in Business Administration and Management from the University of Buenos Aires and an MBA from the IMD Business School. His professional career progressed at Carrefour Argentina where he managed Consumer Goods Products, and he later went on to lead the same area for the Carrefour Group in France, and the Own Brand products area for 7 years. He returned to Argentina as Sales and Marketing Director until 2018 when he joined the General Management of Electrolux Argentina, and one year later when he occupied the same position for the company in the Southern Cone region. Tolcachir speaks fluent French and English, and Spanish is his mother tongue.

Álvarez
Ricardo Álvarez is an agricultural engineering with a specialization in Food Processing Industry at the Polytechnic University of Madrid and obtained a Master in Business Administration from the Instituto de Empresa. Álvarez's professional career has always been linked to the retail sector. He joined the Tesco sale team in Bray (Ireland) and from there he made the leap to the food retail sector in Spain covering various positions in Lidl. While at Lidl he led important expansion, sales and team building projects. From 2013 to 2018, he was Executive Vice President and Chief Operations Officer in Spain and during recent years for US market.

Agustín Ibero holds a degree in Business Administration from the Catholic University of Argentina and a Master in Digital Business from the University of San Andrés. With more than 30 years of experience in administration, finance and compliance, he developed his professional career in multinational retail, consulting and IT companies. In 2022, he joined the Management Board of Grupo Dia as CEO of Dia Argentina, with the mission to consolidate the sustainable growth of the business unit. Before assuming this role, he served as CFO to initiate the transformation process of Dia Argentina.
Guillaume
Gras
Guillaume Gras is a graduate of EDHEC Business School in France, specialising in Finance. He began his career as a financial auditor at Ernst & Young in 2001 and has held various positions in the retail sector for nearly 20 years within the Casino Group, with positions in France, Vietnam and Brazil. During his time in France, he developed different functions in the internal audit area, marketing department and commercial management of Casino France. At the end of 2011, he was appointed financial director of Casino Restauration. Then in 2014, he took charge of the financial management of the distribution and property management activities in Vietnam. His professional experience continued in Brazil in 2016 at Pao de Açucar, first in charge of management control for the South America area and then as Vice President of Finance and Director of Financial Communication and Investor Relations.

He has a degree in Law from the Complutense University of Madrid and a Master's degree in Corporate Legal Consultancy (LL.M.) from the Instituto de Empresa, and has extensive experience in the corporate legal profession, having worked before joining the Dia Group in prestigious international firms such as Allen & Overy (now A&O Shearman), Deloitte and KPMG. He specialises in commercial, corporate, M&A and real estate law. He joined in April 2020 as Deputy General Counsel. In July 2023 he assumed the position of General Secretary and Deputy Secretary of the Board of Directors. In January 2025 he was appointed Secretary of the Board of Directors of Grupo Dia, a position he currently combines with that of General Secretary. Since joining the Group in 2020, he has led the bulk of the Group's strategic operations and transformation from a legal point of view (both national and international).

Hermida
Pilar has a degree in Journalism from the Complutense University of Madrid and completed university studies in Lille (France). Her training includes various scholarships and postgraduate at La Trobe University in Melbourne (Australia), Instituto de Empresa and ISDI. After working as a journalist for TVE or the EFE Agency, for more than 20 years she has promoted the reputation of companies such as Air France, L'Oréal and the European University of Madrid. In the last seven years, she has held the position of Director of Communications for HEINEKEN Spain, coordinating the communication of the corporation and its commercial brands. She currently holds the position of Chief Communications & Sustainability Officer, being responsible for the Communication Area of Dia Group globally and in Spain, from where she will boost the reputation of the Spanish company towards its stakeholders, customers, employees, franchisees, media communication and opinion leaders. In addition, as head of the Group's Sustainability Area, Pilar promotes the implementation of the Strategic Sustainability Plan to ensure the company's sustainable impact wherever it operates.

Serrano
Antonio Serrano has a degree in Electronic Engineering from the Technological Institute of Aeronautics of Brazil and an MBA in Business Administration, Finance and Marketing from the Booth School of Business (University of Chicago). Subsequently, he completed an Executive Program at the IMD business school in Switzerland. His professional career began at Banco ITAÚ in 2001 and later at Bain & Company, where he worked for 11 years in charge of evaluating different large-scale projects within the field of strategy and mergers and acquisitions throughout LATAM. In 2014 he was appointed General Manager of Votorantim Cimentos, a position he held until 2018, when he founded and began managing "Juntos Somos Mais", the largest digital ecosystem in the construction sector in Brazil, making it the one of the main startups in the country. He combines running the company with business mentoring at Endeavor. He also has extensive expertise as a Board Member of various companies.

Máximo is a computer engineer from the Polytechnic University of Madrid with extensive experience in e-commerce frameworks and content management systems. With more than 20 years of professional experience, he began his career in consulting in firms such as VASS and Informática el Corte Inglés working for clients such as Caja Madrid, ICEX, El Corte Inglés, Desigual, Telefónica, Jazztel, Pelayo Seguros among others. After a decade as a solutions architect, he joined Carrefour Spain, where he led the e-commerce architecture team for more than five years. Máximo joined Dia España in 2021 as Director of IT Architecture and in February 2024 he assumes the role of Global Chief Technology Officer, joining the Management Board of Grupo Dia.

Joana holds a degree in Law from the Portuguese Catholic University and an advanced programme in Strategy for Human Resources Leaders from INSEAD. She has more than 22 years of experience in human resources management. In the last ten years, she has focused her work in the industrial and distribution sectors, leading high-impact leadership and cultural transformation projects. As Director of People & Culture and Franchise at Dia Portugal for three years, she led the process of improving leadership competencies and implemented new ways of working towards a simpler and more agile organisation, preparing it to embrace the new phase the company is entering in Portugal. Previously, Joana led HR at Refriango for Africa and at Reiter Affiliated Group for the EMEA region, where she managed major organisational change projects and employer branding and organisational culture development strategies. She also held key roles in her career at Deloitte & KPMG consulting firms, focusing on global services such as compensation and benefits and talent management.
